I allege that Goldfinch/Warbler Labs represented to Senior Pool (FIDU) depositors, across its 2021–2023 protocol documentation and marketing materials, that all Borrower Pool deals were structured so that Backer-supplied "first-loss" capital would absorb losses before any loss reached the Senior Pool — without disclosing that this protection did not apply uniformly across all deals. Specifically: Goldfinch's own V1 documentation stated Liquidity Providers had "the added security of knowing that they will be the first repaid if a Pool that was evaluated positively by Backers does go into default," a claim made without qualification as to which deals this covered. The Tugende deal — one of FIDU's eleven underlying loans, and the one that ultimately defaulted for a possible total loss of $5 million — had no Backer/junior first-loss capital ahead of FIDU, meaning FIDU depositors bore first-loss exposure on that deal contrary to the general risk framing given to depositors. Following the July 2023 disclosure of the Tugende default, Goldfinch's stated risk claim reportedly changed to include a new carve-out — "all deals protected by 20-25% first-loss capital bar one legacy investment" — a caveat that, on available evidence, was not present in the same claim before that disclosure. I allege this sequence shows Goldfinch/Warbler Labs marketed a uniform risk-protection structure to Senior Pool investors that did not, in fact, apply to all underlying deals, and that the exception was disclosed only after the deal in question had already defaulted.
